Listly AI is operated by Njdeh Petrossian (“we”, “us”, “our”), trading as Listly AI. When you create an account or use the service, you are contracting with Njdeh Petrossian.

Listly AI is an online tool that helps second-hand sellers create optimised marketplace listings with the assistance of artificial intelligence. It produces suggested titles, descriptions, price ranges, keywords and hashtags based on the information and photos you provide.

By creating an account, subscribing to a paid plan, or continuing to use Listly AI, you agree to these Terms & Conditions. If you do not agree, please do not use the service.

You confirm that you have the legal capacity to enter into this agreement and, if you are using Listly AI on behalf of a business, that you have the authority to bind that business.

You are responsible for keeping your login credentials confidential and for all activity that happens under your account. You must provide accurate information when signing up and keep it up to date. Tell us as soon as possible if you believe your account has been compromised.

You must not misuse Listly AI. In particular, you must not:

• use the service for any unlawful purpose or in breach of any applicable law;
• use it to create fraudulent, deceptive, spam, hate speech, sexually explicit, violent or otherwise harmful content, including deepfakes or non-consensual imagery;
• infringe the intellectual property or other rights of others, including by submitting content you have no right to use;
• interfere with the security or proper working of the service, including introducing malware, probing or scanning for vulnerabilities, scraping, or attempting to gain unauthorised access;
• attempt to bypass usage limits, rate limits, or the AI generation safeguards of the service, or resell or redistribute access to the service.

Listly AI uses artificial intelligence to draft listing content. AI output can be inaccurate, incomplete or unsuitable for your item. You are responsible for reviewing every generated title, description, price suggestion, keyword and hashtag before publishing it anywhere, and for ensuring it is truthful and does not mislead buyers.

You are also responsible for the photos, product details and other materials you submit, and for having the rights to use them. Do not rely on Listly AI output as regulated professional advice (legal, financial, tax or similar) without appropriate oversight.

Price suggestions are estimates generated from the information you provide. They are not a guarantee of the actual market price or of any sale, and they are clearly labelled as estimates in the app.

We retain all ownership of the Listly AI service, including its software, design, branding, prompts and documentation. Nothing in these terms transfers any of that ownership to you.

You keep the rights to the photos and details you submit. You grant us a limited licence to store and process them solely to provide the service to you. You own the listings you create with Listly AI and are free to use them on any marketplace. If you believe content generated or stored through the service infringes your rights, contact us at the address in section 12 so we can review and, where appropriate, remove it. We may suspend accounts responsible for repeated infringement.

You may not reverse engineer the service, circumvent its technical limits, or use it to build a competing product.

We aim to keep Listly AI available and working well, but the service is provided “as is” and “as available”. We do not guarantee that it will be uninterrupted, error-free, or that AI generation will always meet your expectations. We may add, change or remove features over time.

To the fullest extent permitted by law, all implied warranties, including merchantability and fitness for a particular purpose, are disclaimed.

Paid plans are billed monthly in advance and renew automatically until cancelled. Your plan’s listing allowance resets at the start of each billing month. Unused listings do not roll over.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. For payment, billing, taxes, cancellation and refund mechanics, Paddle’s Checkout Buyer Terms apply between you and Paddle.

You can cancel a paid subscription at any time from the app or through Paddle. When you cancel, you keep access to the paid features until the end of the period you have paid for; after that your account moves to the Free plan.

You may stop using Listly AI and delete your account at any time. We may suspend or terminate your access if:

• you materially breach these terms and do not remedy it where remedy is possible;
• payment for a paid plan fails or is refused;
• your use of the service creates a security or fraud risk for us or others;
• you repeatedly or seriously violate our acceptable use rules.

When your account ends, we will delete your listings, photos and personal data in line with our Privacy Notice. Where possible we will give you a reasonable window to export your listings first.

To the fullest extent permitted by law, we are not liable for indirect, consequential or special damages, including lost profits, lost data, or lost goodwill, arising from your use of the service.

Our total aggregate liability to you is limited to the fees you paid us in the twelve months before the event giving rise to the claim. Nothing in these terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited by law.

You agree to indemnify us against claims arising from the content you submit or publish based on Listly AI output, your unlawful use of the service, or your breach of these terms.

We may update these terms from time to time. If a change materially reduces your rights, we will notify you in the app or by email before it takes effect. Continued use after a change means you accept the updated terms.

We may assign this agreement in connection with a merger or sale of the business. You may not assign your rights without our consent. Neither party is liable for delays caused by events beyond their reasonable control (force majeure).

These terms are governed by the laws of Belgium, and the courts of Belgium have exclusive jurisdiction over any dispute, without affecting your mandatory consumer rights.
